Even before Malaysia's fall from its economic pedestal in 1997, many industries, including the banking sector, were ripe for consolidation but the process was slow and unhurried. The East Asian Economic Meltdown of 1997 reinforces that urgency. Acknowledging that the weakest companies must be allowed to fail before the survivors can thrive, the restructuring of the national economy is now being undertaken on a more urgent basis.

The painful lessons of the economic crisis have demanded substantial rewriting of many chapters, and amendments were made to virtually every page. In view of the increasing number of companies seeking court protection from their creditors under Section 176 of the Companies Act 1965, a new chapter - Power of Court To Restrain Proceedings - has been added. This edition also attempts to highlight some of the practical aspects of drafting security documents and their enforcement in the light of my own experiences. This has inevitably meant that the book has grown in size notwithstanding the pruning of dead wood.

The purpose of this edition is not only to assist bankers and those connected with the banking industry to grasp the underlying principles of security documentation, but also to explain the problem areas and suggest solutions whenever possible. Readers may derive some assistance in identifying security documents and collateral that are likely, in practice, to cause them difficulty. For this reason, brevity has been completely subordinated for readability, which is essential for a proper understanding of the subject.

This book is not intended to be an exhaustive treatise on the law of banking securities. But, within limits, it does discuss most of the important aspects of the subject. While it emphasises principles, it is not intended to be mainly theoretical; on the contrary, the focus is on those principles which are still important in practice and to explain their purpose and how they operate. For those who wish to go more deeply into a particular topic, a good reference book is still no substitute.

In the preparation of this edition, I have received invaluable help and suggestions from the publishers, in particular, Mr. Woo Kum Wah whose meticulous work despite his heavy schedule made the process of producing this millennium edition so much easier and pleasurable.
